1. About Softminion

Softminion Technology Limited provides technology and software services including custom software development, web and mobile application development, UI/UX design, cloud and infrastructure services, system integrations, digital transformation services, and ongoing technical support. We may also develop and introduce digital wallet, payment technology, money collection, transfer, or disbursement-related products. Availability of any financial or payment-related service may depend on applicable regulatory approvals, licensing requirements, and authorized financial or payment partners.

2. Eligibility

You must have the legal capacity to enter into an agreement with us. Certain services may have additional eligibility requirements, including age, identity verification, geographic restrictions, business verification, or regulatory requirements.

3. Software & Technology Services

Where you engage Softminion for software development or technology services:

• Project scope will be determined by the applicable proposal, quotation, statement of work, or agreement.
• Deliverables will be provided according to agreed specifications.
• Timelines may change due to scope changes, third-party dependencies, client delays, technical requirements, or circumstances outside our reasonable control.
• Additional features or changes outside the agreed scope may incur additional fees.
• The client is responsible for providing accurate information, content, access credentials, and required approvals.

4. Payments and Fees

Fees for software and technology services are determined by the applicable agreement, quotation, invoice, or subscription plan.

Unless otherwise agreed:

• Payments must be made within the agreed payment period.
• Taxes, government charges, banking fees, and third-party processing fees may be payable by the applicable party.
• Late payments may result in suspension of services.
• Deposits or advance payments may be non-refundable where work has already commenced, subject to the applicable agreement and law.

5. Digital Wallet & Payment Services

Softminion may offer or facilitate technology for digital wallets, payment collection, currency conversion, money transfer, or local disbursement. Financial services may be provided directly by Softminion or through authorized banks, payment service providers, financial institutions, payment processors, or other regulated partners.

Where applicable:

• Users may be required to complete identity and business verification.
• Transactions may be monitored for fraud, financial crime, sanctions, and regulatory compliance.
• We may request additional documentation or information.
• Transactions may be delayed, rejected, reversed, suspended, or restricted where required by law, regulatory requirements, security controls, or partner policies.
• Exchange rates, fees, limits, and processing times may vary depending on the transaction and service provider.
• We do not guarantee that every currency, country, payment method, or transaction type will always be available.
• Nothing on this website should be interpreted as a representation that Softminion is authorized to provide a regulated financial service in every jurisdiction.

6. Prohibited Activities

You may not use our services for:

• Fraudulent transactions
• Money laundering or terrorist financing
• Sanctions evasion
• Illegal gambling or unlawful activities
• Fraud, scams, or deceptive schemes

7. Account Security

You are responsible for maintaining the confidentiality of your login credentials and for activities performed through your account.

You must immediately notify us if you believe your account has been compromised.

We will never knowingly ask you to disclose your password, private authentication credentials, or security codes through an unsecured communication channel.

8. Intellectual Property

Unless otherwise agreed in writing:

• Softminion retains ownership of its pre-existing software, frameworks, libraries, tools, methodologies, infrastructure, and intellectual property.
• Client-specific deliverables and intellectual property rights will be governed by the applicable project agreement.
• Website content, branding, software, graphics, designs, and other materials owned by Softminion may not be copied, reproduced, modified, or distributed without permission.

9. Third-Party Services

Our services may integrate with third-party APIs, payment providers, cloud providers, banks, software platforms, and other external services. We are not responsible for interruptions, policy changes, failures, or actions of third-party providers beyond our reasonable control.

10. Service Availability

We aim to maintain reliable services but do not guarantee uninterrupted or error-free availability. Services may occasionally be unavailable due to maintenance, upgrades, security incidents, infrastructure failures, third-party issues, or circumstances beyond our control.

11. Disclaimer

Our services are provided based on the applicable agreement and service description. We do not guarantee that a particular software solution will achieve a specific commercial result unless expressly agreed in writing. For financial services, exchange rates, transaction processing, availability, and settlement may depend on banks, payment providers, regulators, and other third parties.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Softminion will not be liable for indirect, incidental, consequential, special, or unforeseeable losses arising from the use of our website or services. Nothing in these Terms excludes liability that cannot legally be excluded.

13. Suspension and Termination

We may suspend or terminate access to services where:

• You breach these Terms
• We reasonably suspect fraud or unlawful activity
• Required information or verification is not provided
• Payment obligations are not met
• Suspension is required by law or a regulatory authority
• Suspension is necessary to protect our systems, users, or partners

14. Changes to These Terms

15. Governing Law

These Terms shall be interpreted in accordance with the applicable laws of Bangladesh, unless a separate written agreement between Softminion and a customer provides otherwise.
